Welcome to E Display Inc.

These Terms of Service ("Terms") govern your access to and use of the E Display Inc. ("E Display", "we", "us", "our") website at www.edisplayinc.com and our Software-as-a-Service (SaaS) digital signage platform, including E Display Sign Studio and any related applications, media players, content, and services (collectively, the "Services").

By accessing our website, subscribing to a license, or using the Services, you accept these Terms in full. If you do not accept these Terms, do not use the Services.

Definitions

"Client", "You" and "Your" refer to the person, company, or entity accessing the website or subscribing to the Services. "The Company", "We", "Us" and "Our" refer to E Display Inc. "License" means a per-screen (per-player) subscription that grants the right to use the Services for one activated device during the paid subscription term. "Subscription" means the recurring billing plan associated with one or more Licenses.

Subscription Licenses

The Services are provided on a subscription basis. Each activated screen or media player requires one active License. Subject to your continued payment and compliance with these Terms, E Display grants you a limited, non-exclusive, non-transferable, revocable license to use the Services on the number of screens covered by your subscription.

Billing and Term

• Licenses are billed monthly, quarterly, or annually, as selected at checkout.
• Subscriptions automatically renew at the end of each billing cycle at the then-current rate unless cancelled prior to renewal.
• Fees are payable in advance and are non-refundable except as expressly stated or required by law.
• You may add additional Licenses at any time; new Licenses are prorated to align with your current billing cycle.

Cancellation

You may cancel a Subscription at any time from your account or by contacting support@edisplayinc.com. Cancellation takes effect at the end of the current paid billing period; no partial refunds are issued for unused time.

License Restrictions

You must not, and must not permit any third party to:

• Resell, sublicense, rent, or share Licenses with parties outside your organization;
• Reverse engineer, decompile, or attempt to derive source code from the Services;
• Use the Services to distribute unlawful, infringing, defamatory, or harmful content;
• Interfere with the security or integrity of the Services or use them to build a competing product.

Your Content

You retain all rights to the images, videos, text, and other materials you upload or schedule through the Services ("Your Content"). You grant E Display a limited license to host, store, transmit, cache, and display Your Content solely to operate and provide the Services to you. You represent that you have all rights necessary to upload and display Your Content on the screens you operate.

Cookies

We use cookies to operate the website, remember preferences, and analyze usage. By using the website you consent to cookies in accordance with our privacy practices.

Intellectual Property

Unless otherwise stated, E Display and/or its licensors own the intellectual property rights for all material on the website and in the Services, including software, design, templates, and branding. All intellectual property rights are reserved. You may view and/or print pages from the website for your own personal or internal business use, subject to the restrictions in these Terms. You must not:

• Republish material from the website;
• Sell, rent, or sub-license material from the website;
• Reproduce, duplicate, or copy material from the website;
• Redistribute content from E Display (unless the content is specifically made for redistribution).

Acceptable Use

You are responsible for the content you publish through the Services and for compliance with all applicable laws in the jurisdictions where your screens operate. E Display reserves the right to suspend or terminate accounts that use the Services to publish content that is unlawful, infringing, defamatory, obscene, or otherwise in breach of these Terms.

Hyperlinking to Our Content

Government agencies, search engines, news organizations, online directory distributors, and accredited businesses may link to our website without prior written approval, provided the link (a) is not misleading, (b) does not falsely imply sponsorship or endorsement, and (c) fits within the context of the linking party's site.

Other organizations may request a link by emailing info@edisplayinc.com. No use of E Display's logo or artwork is permitted for linking absent a trademark license agreement.

Iframes

Without prior approval and express written permission, you may not create frames around our web pages or use other techniques that alter in any way the visual presentation or appearance of our website or the Services.

Service Availability

We aim to provide a reliable Service with 99.9% platform uptime, excluding scheduled maintenance and events outside our reasonable control. The Services are provided on an "as is" and "as available" basis. We do not warrant that the Services will be uninterrupted, error-free, or that any defect will be corrected.

Reservation of Rights

We reserve the right at any time and in our sole discretion to request that you remove all links or any particular link to our website. You agree to immediately remove all links to our website upon such request. We also reserve the right to amend these Terms at any time. Continued use of the Services after changes constitutes acceptance of the revised Terms.

Disclaimer

To the maximum extent permitted by applicable law, we exclude all representations, warranties, and conditions relating to our website and the Services (including, without limitation, any warranties implied by law in respect of satisfactory quality, fitness for purpose, and/or the use of reasonable care and skill). The limitations and exclusions of liability set out in this section govern all liabilities arising under this disclaimer or in relation to its subject matter, including liabilities arising in contract, tort (including negligence), and for breach of statutory duty.

Governing Law

These Terms are governed by the laws of the State of Illinois, United States, without regard to its conflict of law provisions. Any disputes shall be resolved in the state or federal courts located in Cook County, Illinois.
